Acceptance of Terms
By creating an account or using CapriLinks, you agree to these Terms of Service. If you are accepting on behalf of a business, you represent that you have authority to bind that business. These terms govern your access to and use of the platform.
Description of Service
CapriLinks is a managed B2B SaaS platform that provides AI-assisted customer communication, lead capture, team alerts, and business profile management for service businesses. The service includes a managed setup process conducted by our team before activation. Service levels and features vary by subscription package (Standard, Pro, Pro+).
Subscriptions and Payment
Subscriptions are billed monthly at the rates displayed on our pricing page at the time of signup, plus any applicable one-time setup fees. Payment is due at the start of each billing period. Failure to maintain a current payment method may result in service suspension. All fees are non-refundable except as required by law or as expressly stated in these terms.
Customer Responsibilities — SMS and TCPA Compliance
You are solely responsible for ensuring that your end customers have provided proper prior express written consent to receive automated text messages through our platform, as required by the Telephone Consumer Protection Act (TCPA) and other applicable laws. You must maintain opt-out mechanisms and honor opt-out requests promptly. CapriLinks is not liable for your failure to obtain required consents.
AI-Generated Content
The AI responses generated by our platform are based on the Business AI Profile you configure and review. You are responsible for the accuracy and appropriateness of the information provided in your profile. CapriLinks does not guarantee that AI-generated responses will be accurate, appropriate, or complete in all circumstances. You should review your setup carefully before activation.
Acceptable Use
You agree not to use the platform to send unsolicited messages, violate any law or regulation, infringe on the rights of others, transmit harmful or deceptive content, or interfere with the operation of the platform. We reserve the right to suspend or terminate accounts that violate these terms.
Data and Privacy
Your use of the platform is governed by our Privacy Policy, which is incorporated into these Terms. You retain ownership of your business data. You grant us a limited license to process your data as necessary to provide the service. You are responsible for the lawfulness of data you submit and for maintaining appropriate agreements with your own customers.
Limitation of Liability
To the maximum extent permitted by law, CapriLinks' total liability to you for any claims arising from these terms or your use of the service shall not exceed the fees you paid in the three months prior to the claim. We are not liable for indirect, incidental, special, or consequential damages. Some jurisdictions do not allow these limitations, so they may not apply to you.
Termination
Either party may terminate the service with written notice. We may suspend or terminate your account immediately for material breach of these terms, non-payment, or behavior that we reasonably determine poses a risk to the platform or other users. Upon termination, your access to the service will end and we will retain data according to our Privacy Policy.
Governing Law
These terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in California. You waive any objection to jurisdiction in these courts.
